Shareholders’ Rights and Equitable Treatment

Shareholders’ Rights

The Bank places great importance on ensuring fair and equitable treatment of all shareholders, regardless of whether they are minority shareholders, major shareholders, foreign shareholders, or institutional investors. As owners of the business, shareholders are entitled to fundamental rights to which they are entitled as shareholders, including:
  • Right to trade and transfer shares.
  • Right to receive equitable treatment in any share repurchase of shares by the Bank (If any).
  • Right to receive a share of profits or dividends in proportion to their shareholding.
  • Right to receive adequate and timely information in an appropriate form.
  • Right to elect and remove individual directors of the Bank.
  • Right to appoint the auditor.
  • Right to attend shareholders’ meetings and exercise their voting rights as well as the right to approve other significant matters e.g. determination or amendment of the Bank’s Articles of Association and Memorandum of Association, capital decrease or increase, and material transactions.

In addition, the Bank encourages shareholders to exercise their right to participate in shareholders’ meetings by facilitating their participation as follows:
  1. Established clear criteria allowing shareholders to propose agenda items and/or nominate candidates for election as directors, as well as submit questions in advance of shareholders’ meetings.
  2. Prepare and deliver notices of the shareholders’ meetings, together with relevant supporting documents, in both Thai and English, and publish such information on the Bank’s website in accordance with applicable laws, regulatory requirements, and good corporate governance principles to provide shareholders with sufficient time to review the information and supporting documents in advance of the shareholders’ meetings.
  3. Notify the shareholders in advance of the rules and procedures for attending shareholders’ meetings and voting procedures.
  4. Provide proxy forms that allow shareholders to specify their voting instructions and designate the Chairman of the Board or Independent Directors, a total of at least two, as alternative proxies for the shareholders.
  5. Encourage the shareholders to express their opinions, make recommendations and ask questions in the shareholders’ meetings.
  6. Encourage the directors to allocate their time to attend every shareholders’ meeting.

Protection of Shareholders’ Rights

The Bank recognizes and places importance on the equitable rights of all shareholders and refrains from any action that would violate or deprive the shareholders of their rights or restrict their access to the Bank’s information. Shareholders may access the Bank’s information via the Stock Exchange of Thailand’s disclosure channels as well as the Bank’s website under the ‘Investor Relations’ section.

In addition, the Bank provides channels through which all shareholders may report any issues that may affect their interests and rights to the Bank’s Board of Directors.
